Welcome to Upheaval Finance ("Upheaval", "we", "us", or "our"), a decentralized application built on the Hyperliquid EVM, a high-performance Ethereum Virtual Machine-compatible Layer-1 blockchain designed for decentralized finance (DeFi), non-fungible tokens (NFTs), and other Web3 applications. By accessing or using Upheaval, you ("User," "you," or "your") agree to be bound by these Terms and Conditions ("Terms") and our Privacy Policy. If you do not agree with these Terms or the Privacy Policy, you must not use our services.

Upheaval provides a suite of decentralized services, including but not limited to:

  • Interaction with the Hyperliquid EVM ecosystem (tokens, NFTs, DeFi apps, and Total Value Locked (TVL) insights)
  • A decentralized exchange (DEX) aggregator for optimized trading
  • Liquidity pool management for providing liquidity and earning fees
  • JumpPad token launchpad for discovering and trading new tokens
  • A cross-chain bridge for asset transfers to Hyperliquid EVM
  • A points program to incentivize user engagement

These Terms govern your use of Upheaval and its associated services. Due to the decentralized nature of our platform, you acknowledge that Upheaval operates on a non-custodial basis, meaning you retain control of your assets and private keys at all times.

Terms and Conditions

1. Overview of Upheaval Services

Upheaval is a decentralized platform built on the Hyperliquid EVM, designed to enhance user interaction with DeFi, NFTs, and tokenized assets. Below are the core functions of Upheaval:

1.1 Hyperliquid EVM Ecosystem Interaction

Upheaval provides access to the Hyperliquid EVM ecosystem, a high-performance Layer-1 blockchain optimized for DeFi and Web3 applications. Key features include:

  • Tokens: Support for Hyperliquid-native tokens (e.g., HIP-1 and HIP-2 standards) and ERC-20 tokens for fungible assets. Users can trade, stake, or use these tokens in DeFi protocols.
  • NFTs: Interaction with non-fungible tokens (NFTs) within the Hyperliquid ecosystem, including marketplaces and NFT-based DeFi strategies.
  • DeFi Apps: Access to decentralized applications (DApps) spanning DeFi, GameFi, AI, and liquid staking.
  • Total Value Locked (TVL): Upheaval provides insights into the Hyperliquid ecosystem's TVL and liquidity metrics.
  • Interoperability: Upheaval enables seamless interaction between Hyperliquid's native HyperCore (spot trading) and HyperEVM (smart contract execution).

1.2 DEX Aggregator

Upheaval's DEX aggregator optimizes trading by sourcing liquidity from multiple decentralized exchanges within the Hyperliquid EVM and compatible chains. Features include:

  • Aggregation of trading routes across native DEXs and external platforms for minimal slippage and competitive pricing
  • Support for spot trading with real-time price charts
  • Low-fee transactions on HyperEVM

1.3 Liquidity Management

Upheaval provides comprehensive liquidity pool management features:

  • Add liquidity to existing pools and earn trading fees
  • Remove liquidity and collect accumulated fees
  • Create new liquidity pools for token pairs
  • View pool statistics, analytics, and historical performance
  • Track liquidity positions in your portfolio

1.4 JumpPad (Token Launchpad)

Upheaval's JumpPad feature enables users to discover and interact with newly launched tokens:

  • Launch new tokens on Hyperliquid EVM
  • Discover trending tokens and new launches
  • Trade newly launched tokens directly through the platform
  • View token holders and transaction history
  • Access token analytics and charts

1.5 Cross-Chain Bridge

Upheaval integrates a cross-chain bridge to facilitate asset transfers to Hyperliquid EVM from multiple EVM and non-EVM chains. Key features:

  • Support for transfers from Ethereum, Arbitrum, Base, and other major chains
  • Support for stablecoins (e.g., USDC, USDT) and other assets
  • Secure and fast transfers with minimal fees

1.6 Points Program

Upheaval offers a points program to incentivize user engagement within the Hyperliquid EVM ecosystem. Key details:

  • Users earn points by interacting with Upheaval's services, such as trading, providing liquidity, or participating in DeFi protocols
  • Points may qualify users for future rewards, including potential airdrops
  • The program is transparent, with points tracked on-chain
  • Upheaval does not guarantee rewards, and participation is subject to ecosystem developments
  • View leaderboards and track your points history

2. Eligibility

To use Upheaval, you must:

  • Be at least 18 years old or the legal age of majority in your jurisdiction
  • Not be located in, or a resident of, any jurisdiction where access to Upheaval's services is prohibited (e.g., jurisdictions under U.S. sanctions or with restrictive cryptocurrency regulations)
  • Have an EVM-compatible wallet (e.g., MetaMask, Coinbase Wallet, WalletConnect) with sufficient funds for gas fees

3. User Responsibilities

As a non-custodial platform, Upheaval does not control your assets or private keys. You are responsible for:

  • Safeguarding your private keys and wallet credentials. Upheaval is not liable for losses due to compromised wallets or user error
  • Ensuring sufficient funds for gas fees when interacting with Hyperliquid EVM or cross-chain bridges
  • Conducting due diligence on DeFi protocols, tokens, or NFTs accessed through Upheaval. Decentralized platforms carry inherent risks, including smart contract vulnerabilities and market volatility
  • Complying with all applicable laws and regulations in your jurisdiction, including tax obligations related to cryptocurrency transactions
  • Verifying token contracts and liquidity pools before interacting with them

4. Risks

By using Upheaval, you acknowledge the following risks:

  • Smart Contract Risk: Upheaval and Hyperliquid EVM protocols may contain bugs or vulnerabilities. You assume the risk of interacting with unaudited or third-party smart contracts
  • Market Risk: Cryptocurrencies, NFTs, and DeFi assets are highly volatile. Upheaval is not responsible for financial losses due to market fluctuations
  • Liquidity Risk: Providing liquidity to pools may result in impermanent loss. You understand that the value of your liquidity position may decrease due to price movements
  • Bridge Risk: Cross-chain transfers may fail or incur delays due to network congestion or bridge vulnerabilities
  • Regulatory Risk: Changes in cryptocurrency regulations may impact your ability to use Upheaval's services
  • Points Program Risk: Points earned do not guarantee rewards, and future airdrops are subject to Upheaval's discretion and ecosystem decisions
  • Token Risk: Newly launched tokens on JumpPad may be subject to high volatility, low liquidity, or potential scams. Always conduct thorough research

5. Prohibited Activities

You agree not to:

  • Use Upheaval for illegal activities, including money laundering, fraud, or terrorist financing
  • Attempt to exploit, hack, or disrupt Upheaval's smart contracts or the Hyperliquid EVM network
  • Engage in excessive or abusive trading practices that manipulate the points program or harm the ecosystem
  • Use Upheaval in jurisdictions where its services are restricted or prohibited
  • Create or launch tokens with malicious intent, including scam tokens or rug pulls
  • Manipulate markets or engage in wash trading

6. Fees

Upheaval's services may incur the following fees:

  • Gas Fees: Payable in HYPE (Hyperliquid EVM's gas token) or source chain tokens for transactions like bridging or smart contract interactions
  • Trading Fees: Fees for trades on Upheaval's DEX aggregator, determined by the underlying DEX and liquidity pools
  • Liquidity Pool Fees: Trading fees are distributed to liquidity providers based on their share of the pool
  • Bridge Fees: Minimal fees for cross-chain transfers, as determined by the integrated bridge provider

Upheaval does not control gas fees, which are determined by the underlying blockchain networks.

7. Intellectual Property

Upheaval's branding, code, and user interface are protected by intellectual property laws. You may not copy, modify, or distribute Upheaval's assets without prior written consent.

8. Limitation of Liability

To the fullest extent permitted by law:

  • Upheaval is provided "as is" without warranties of any kind, express or implied
  • Upheaval, its developers, or affiliates are not liable for any direct, indirect, incidental, or consequential damages arising from your use of the platform, including but not limited to financial losses, data breaches, or service interruptions
  • Upheaval is not responsible for third-party DApps, bridges, tokens, or protocols accessed through our platform
  • Upheaval is not responsible for impermanent loss or other liquidity-related losses

9. Indemnification

You agree to indemnify and hold harmless Upheaval, its developers, and affiliates from any claims, damages, or losses arising from your violation of these Terms or misuse of the platform.

10. Termination

Upheaval reserves the right to restrict or terminate your access to the platform if you violate these Terms or engage in prohibited activities. Due to the decentralized nature of Upheaval, termination may involve restricting interactions with our smart contracts.

11. Governing Law

These Terms are governed by applicable international laws and the laws where Upheaval's developers are located, without regard to conflict of law principles. Disputes arising from these Terms will be resolved through binding arbitration, unless otherwise required by law.

12. Amendments

Upheaval may update these Terms at any time by posting the revised version on our website or DApp interface. Continued use of Upheaval after such changes constitutes your acceptance of the updated Terms.

Upheaval is committed to protecting your privacy. As a decentralized platform, we do not collect or store personal data unless explicitly provided by you. This Privacy Policy outlines how we handle information related to your use of Upheaval.

  • Blockchain Data: Public wallet addresses, transaction hashes, and on-chain activities (e.g., trades, bridge transfers, liquidity positions, points earned) are recorded on the Hyperliquid EVM blockchain and are publicly accessible
  • Usage Data: Aggregated, anonymized data about how users interact with Upheaval's interface, such as page visits or feature usage, may be collected to improve our services
  • Voluntarily Provided Data: If you contact us via email, Discord, Telegram, or other channels, we may collect information you provide, such as your email address or username

We do not collect personally identifiable information (e.g., name, address, or KYC data) unless required by law.

3. How We Use Your Information

  • Facilitate transactions, trades, liquidity management, and cross-chain transfers on Upheaval
  • Track points earned through the points program and ensure transparency

Upheaval integrates with third-party protocols, such as cross-chain bridges, DEXs, and external DApps. Upheaval employs industry-standard security practices to protect our smart contracts and interface. However, you are responsible for securing your wallet and private keys. Upheaval is not liable for losses due to compromised wallets or phishing attacks.

8. Your Rights

As Upheaval collects minimal data, your rights are primarily exercised through your control of your wallet:

  • Access: You can view your on-chain activities via blockchain explorers like Hyperliquid's dashboard
  • Deletion: Since blockchain data is immutable, we cannot delete on-chain transactions. For voluntarily provided data (e.g., support emails), you may request deletion by contacting us
  • Opt-Out: You can stop using Upheaval at any time to cease data collection
